As there are a lot of questions about this conversion , what it is about I give a short explanation;
There are 3 parties involved; A) Green Nanotech Ventures B) Termo2Power C) The individual shareholders of T2P
A) GNV is founded with the mission to make as much as possible people wealthy and in the same time make the world a better place.
As you saw in KRS GNV has not much capital so it invites people owners of shares in companies to enter this structure with their
shares and- or intellectual properties where both parties and the environment have advantages.
B) Termo2Power is not a real partner in this conversion but subject of change in ownership. Anyway it will have benefits as well.
For the operation of T2P it is not important what is the price for shares at a certain time . it can be 0,10 PLN or 10 PLN no
difference for conducting the daily business
C) The shareholders of T2P have been offered a conversion price of 1,50 pln not depending on the current price on NC because
as statistics show when there is demand of 1 million shares to buy from the market the price goes up to 1,35 - 1,40 PLN, so for 14
million shares 1,50 is in fact not much. With the transaction of yesterday all shareholders have got a higher price than they paid for and
GNV got the first serious capital to be registered in KRS.
GNV will enter GPW in ca 1 year time so people should consider it as "Lokata" for 1 year, but with interest of over 500 % because
the price for GNV on GPW will be for sure not less than 0,50 pln
What happens when the price of T2P on NC will go up to 2 PLN - 3 PLN ? do the shareholder who converted lose ? No, because
one of the methods for estimating the value of a company is 1 x year turnover or 10 x year profit. so if the price is 2 PLN GNV will
have profit of 0,50 x 14 million shares is 7 million PLN ( x 10 ) so the GNV share value will always grow faster than T2P value
In case GNV enters GPW at 0,50 pln it means for the shareholders who converted a price equivalent of 7,50 PLN for T2P
In addition there is split of risk on other business and easier to exit at GPW than NC
For the people who converted it does not matter what is the current price of T2P at NC now anymore because their aim is GNV -
GPW in one year.
T2P has advantage because GNV can give a loan to T2P to finance its business with the shares of T2P as a security for banks or
bonds.
Also with 70 % ownership there is no threat for hostile takeover
OF course GNV is interested in higher price on NC and will not sell with loss and will work towards GPW listing for T2P as it was
planned.
So in general for all parties it is a win - win - win situation. What I take as a standard for organizing business. When one party loses
it is not OK for my view on how humanity should work.
People who offer now shares for current price are maybe uncertain or need quickly money for some reasons or do it on
purpose in order to buy bigger qty for lower prices.
GNV website should be up and running before end of this year.
